The agreement that governs use of AuthQuire.

AuthQuire is licensed to authorized organizations (clinics, imaging centers, RCM groups) for use by named reviewers, clinicians, and administrators inside that organization. Sharing accounts or providing access to anyone outside the contracted organization is not permitted.

Workspaces are provisioned after AuthQuire verifies the requesting organization. Sign-ups remain in a pending state until our team confirms the customer relationship and, where required, completes a Business Associate Agreement. We may decline or revoke access at our discretion to protect the security of the platform.

AuthQuire is a subscription service. Plans are billed by location and authorization volume as set forth in the order form. Annual plans include a discount and renew automatically unless cancelled before the renewal date.

All use must comply with the acceptable use policy. Violations may result in suspension or termination.

AuthQuire does not practice medicine and does not provide medical advice, diagnosis, or treatment. AuthQuire prepares evidence and drafts language to support the work of licensed clinicians and reviewers; it does not replace clinical judgment.

Every packet, appeal, or determination communication generated with AuthQuire's help must be reviewed and approved by a qualified human before submission to a payer or use in a clinical decision. The workspace requires a named reviewer on each packet and records the approval in the audit trail.

The customer is responsible for:

• Lawful authority to upload and process the documents and PHI placed into AuthQuire.
• The accuracy of clinical, billing, and identifying information in source documents.
• Final decisions on submission, appeal, and any communication with patients or payers.
• Managing reviewer access, roles, and offboarding inside the workspace.

AuthQuire extracts evidence, drafts packets, and maps payer requirements automatically, but final clinical approval, payer submission, and appeal decisions require human action. AI output may be incomplete, inaccurate, or out of date, and AuthQuire does not guarantee that any AI-assisted packet will result in payer approval.

Confidence scores below 0.85 trigger mandatory human review. Reviewers can override AI-mapped evidence; original extraction remains in version history.

Fees are invoiced according to the order form. Late payments may incur reasonable interest as permitted by law. Disputes must be raised within thirty days of the invoice date.

Customers may cancel auto-renewal of monthly plans at any time before the next billing cycle. Annual plans cancel at the end of the current term. On cancellation, customers may export their packets and audit logs within the export window described in the order form, after which data is deleted on the schedule in the privacy policy.

AuthQuire is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not warrant payer outcomes, turnaround times outside our published service expectations, or uninterrupted operation.

To the maximum extent permitted by law, AuthQuire's aggregate liability for any claim arising from the service is limited to the fees paid by the customer in the twelve months preceding the incident. AuthQuire is not liable for indirect, incidental, consequential, or punitive damages.

These terms, together with the order form, BAA (where applicable), and any addenda, constitute the agreement between the parties. Disputes are resolved in the venue set out in the order form, or as otherwise agreed in writing.
